SMR Ranch Goods Digital Image License for Personal Use
Purchaser Usage
SMR Ranch Goods grants the purchaser a non-exclusive, non-transferable, perpetual, personal-use license to utilize the digital images in question. The following conditions apply:
Personal Use: The digital images provided are strictly for personal use or as stipulated in a previously negotiated written licensing agreement between the Purchaser and SMR Ranch Goods. The digital images may not be submitted to contests, reproduced for commercial use, or otherwise distributed without express prior consent from SMR Ranch Goods.
Physical Reproductions: The Purchaser is permitted to reproduce digital images via print or other physical media for non-commercial purposes. These purposes may include but are not limited to reprints, enlargements, and gifts to family and friends.
Social Media
The Purchaser is allowed to share blog post links and Facebook albums through the utilization of share functionalities and dissemination of direct links. Any images posted on social media platforms must provide a direct link or credit back to SMR Ranch Goods, as required by the Contract. Screen captures, cropping, and unauthorized modifications of the images are not permitted.
Permitted Uses
Personal, Non-Commercial Use
The Purchaser may display the digital images on personal websites and computers.
The Purchaser may make image prints or other physical media reproductions for personal use.
Commercial Use
Commercial usage of the digital images is strictly prohibited unless a separate written licensing agreement has been negotiated and executed between the Purchaser and SMR Ranch Goods.
Prohibited Uses
The Purchaser is explicitly prohibited from the following:
Reselling, relicensing, sublicensing, or redistributing the images without express written permission from SMR Ranch Goods.
Using the digital images in an obscene, illegal, immoral, libelous, or defamatory manner.
Incorporating the digital images into trademarks, logos, or service marks without prior written consent from SMR Ranch Goods.
Limitation of Liability
SMR Ranch Goods and its vendors will not be liable for any third-party claims or incidental, consequential, or other damages arising out of this license or the Purchaser’s use of the digital images.
Copyright and Ownership
All digital images remain the property of SMR Ranch Goods and are protected by copyright law. SMR Ranch Goods retains the right to use purchased images on its website, promotional materials, and other marketing channels.
By purchasing and using the digital images provided by SMR Ranch Goods, you acknowledge and agree to adhere to the terms stipulated in this digital image license.
Duration of License
The license granted for the use of digital images from SMR Ranch Goods is perpetual, meaning it does not expire, provided that the terms and conditions outlined in this agreement are not violated by the Purchaser. The perpetual nature of this license allows for ongoing use of the digital images for the lifetime of the Purchaser, as long as all conditions are consistently met.
Revocation Clause
SMR Ranch Goods reserves the right to revoke the license at any time if it is determined that the Purchaser has violated any of the terms and conditions specified in this agreement. Revocation will result in the immediate cessation of all rights granted under this license, and any continued use of the digital images will be considered an infringement of copyright.
Termination Conditions
This license agreement may be terminated by SMR Ranch Goods under the following conditions: failure to credit SMR Ranch Goods when required by this agreement, unauthorized commercial use of the digital images, or any other breach of the terms and conditions herein. Upon termination, all rights granted under this license will cease, and the Purchaser must immediately discontinue use of the digital images.
Governing Law
This license agreement shall be governed by the laws of Washington State, specifically Okanogan County. In the event of any dispute arising out of this agreement, both parties agree to submit to the jurisdiction of the state and federal courts located within Okanogan County, Washington.
Warranty and Indemnity
SMR Ranch Goods warrants that the digital images are original works and do not infringe upon any copyright or proprietary rights of third parties. The Purchaser agrees to indemnify and hold harmless SMR Ranch Goods against any and all claims, liabilities, damages, or expenses, including legal fees, arising out of the misuse of the digital images or violation of this license agreement by the Purchaser.
Amendment Clause
Amendments to this license agreement must be made in writing and mutually agreed upon by both the Purchaser and SMR Ranch Goods. Verbal agreements or understandings will not supersede or amend any part of this written license agreement.
